Nanofloat in which Monsieurs Chen and Yang have taken an interest … usually not a good idea to mess with Chynar scams, but I couldn’t resist paying $1,496 in locate fees first thing in the morning.
Interesting that the Opening Print Boyz who use a 30% stop were tagged, but everyone who uses wider stops was safe. All day long in the Discord I was asking people what they thought about Grouchy’s idea, at 10:30 AM every morning, to move the initial stop on OPBs down to the higher of the pre-market high or high of day. The assembled geniuses had no conclusion.
Yay, Marshall finally works on a Hamilton, and what a beauty it is! I’m a big fan of pre-1969 Hamiltons, especially their Sea-something series…
This thing started running AH (after hours) yesterday, came in a bit at 4AM then took off again with a rush of 7AM buying and another rush at 8AM (conference call?), then it topped at $4.40 in the pre-market. With a 187% opening gap, this is a no-brainer for the opening print boyz. Opening print of $3.36 with a close at $3.31 would mean no joy, but of course everyone is swinging it. I learned from reading Grouchy Bear’s TWTR feed that he moves his stop to the higher of the PM high or HOD as of 10:30 AM on all his plays (which are all big gappers) … I have no idea how this tests, but there must be a reason he does it.
So many quality dings… remember you have to short ALL of them and equal size your bets. 20 x $50,000 (DPG) or 20 x $5,000 is fine… at 20 x $500, I’m not sure it’s worth your while.
I took my usual morning meadow walk and missed the first ding on this LIPO thing, which was MOST fortunate as it went 150% against the ding immediately. Once I got back to my spare bedroom, I saw it had gone up too far too fast and paid $875 ($0.025) for the borrow and shorted it just before the open and closed it after hours (half of it) and will swing the rest. Pro move, that morning walk. #study.
Those who know, know… the French are suckers for con men like Kerouac.
Bernays, who helped mastermind many of the Committee on Public Information’s (CPI) propaganda campaigns, was shocked at how effective they were. Bernays’ experience with the CPI gave him a very low opinion of humanity. He believed that most people are dumb, irrational, and easy to manipulate. In fact, he believed that most people are incapable of making informed decisions on their own. In Bernays’ mind the most powerful people in society are not public figureheads or elected officials, but instead whoever produces the propaganda.
Yeah, duh….
Excerpts from Demystifying Modern Convertible Notes (April 2024) (pdf):
To determine the magnitude of the short position, the investor uses a convertible note valuation model to generate an estimated fair value for the convertible note using the most currently available values for the model’s inputs. The investor then varies the common stock price input to the model while keeping all other inputs constant and observes how the estimated fair value of the convertible note changes. By doing so, the investor can estimate the sensitivity of the trading price of the notes to the trading price of the common stock. This sensitivity is called “delta.”
…
For various reasons, short sales of the underlying stock are currently the most common means of implementing a delta-neutral convertible note hedging strategy.
…
If the stock price tends to oscillate, which may be expected of highly volatile stocks, then these dynamic adjustments can themselves drive profits, since they will consist of short sales at relatively high prices and the closing of short sales by buying shares at relatively low prices.
Excerpt from Alternatives to Traditional Securities Offerings (March 2013):
Certain investors in PIPE transactions, such as hedge funds, may seek to hedge their investment—e.g., by short selling the shares to be acquired in the PIPE (or the shares underlying a convertible instrument to be acquired in the PIPE).
The SEC has brought several enforcement actions against investors for short sales of common stock when the sales occurred prior to the time that the resale registration statement became effective, and were then covered with securities purchased in the PIPE once the registration statement became effective. The premise of these actions is that section 5 of the Securities Act—which generally requires every offer and sale of securities to be registered with the SEC or exempt from registration—is violated by the short sale because it is an offer and sale of securities that have not yet been registered. Although the SEC’s view did not prevail in these cases, it continues to adhere to it.
Accordingly, market participants have continued to structure their hedging activity in a manner consistent with the SEC’s position by (i) generally waiting some period of time before hedging to avoid statutory underwriter concerns and (ii) engaging in “double print” transactions. Double printing refers to purchasing shares in the market to close out a short position (i.e., delivering those shares to the purchaser in the short sale or the stock lender that provided shares initially used to settle the short sale). The restricted securities acquired in the PIPE are sold in the market roughly contemporaneously, but with sufficient time between the trades so that they are separate and the investor is subject to some market risk.
